These Terms of Service ("Terms") govern your use of Koa, an AI-powered study platform for university students, available at koa.university. By creating an account or using Koa, you agree to these Terms.

1. Acceptance of Terms

By accessing or using Koa, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the platform.

2. Description of Service

Koa is a free AI-powered study platform that helps university students organize course materials, take notes, and learn with the help of an AI tutor. The platform integrates with Learning Management Systems (such as Canvas) to sync your course content and uses AI (via OpenAI) to provide personalized study assistance.

Koa operates on a Bring Your Own Subscription (BYOS) model for AI features. You provide your own OpenAI API key to power the AI tutoring capabilities. Koa does not charge for access to the platform.

3. Account Responsibilities

You are responsible for:

• Providing accurate information when creating your account.
• Maintaining the security of your account credentials.
• All activity that occurs under your account.
• Keeping your OpenAI API key confidential and managing its usage and associated costs.

You must notify us immediately at support@koa.university if you suspect unauthorized access to your account.

4. Acceptable Use

You agree to use Koa only for lawful, legitimate academic purposes. You must not:

• Use Koa to facilitate cheating, plagiarism, or any form of academic dishonesty.
• Submit AI-generated content as your own original work in violation of your institution's academic integrity policies.
• Attempt to disrupt, overload, or interfere with the platform's operation.
• Use the platform to harass, abuse, or harm others.
• Reverse-engineer, scrape, or attempt to extract the source code of Koa.
• Upload malicious files, viruses, or harmful content.

You are solely responsible for understanding and complying with your institution's academic integrity policies when using AI-assisted tools.

5. Intellectual Property

Your content: You retain full ownership of all content you create, upload, or import into Koa, including notes, documents, and any materials synced from your LMS. We do not claim ownership over your content.

Our platform: Koa and its original content, features, and functionality are owned by Koa and are protected by applicable intellectual property laws. You may not copy, modify, or distribute any part of the platform without our written permission.

6. AI-Generated Content

Koa uses artificial intelligence to provide study assistance, generate explanations, and support your learning. You acknowledge that:

• AI-generated content may contain errors, inaccuracies, or incomplete information.
• AI responses are not a substitute for professional academic advice, your own critical thinking, or your instructor's guidance.
• You are responsible for verifying the accuracy of any AI-generated content before relying on it.
• AI features are powered by OpenAI through your own API key, and their availability depends on OpenAI's service status and your API key's validity.

7. LMS Integration

By connecting your LMS account (e.g., Canvas) to Koa, you:

• Authorize Koa to access your course information, materials, and related academic content.
• Confirm that you have the right to access and use the course materials synced through the integration.
• Understand that you can disconnect the integration at any time through your account settings or your LMS provider.

Koa accesses your LMS data solely to provide you with a personalized study experience and does not share your LMS data with other users.

8. Limitation of Liability

Koa is provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law:

• We do not guarantee that the platform will be uninterrupted, error-free, or secure.
• We are not liable for any academic outcomes, grades, or consequences resulting from your use of the platform.
• We are not responsible for any costs incurred through your use of third-party services (including OpenAI API charges).
• In no event shall Koa be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform.

9. Termination

You may stop using Koa and request account deletion at any time by contacting support@koa.university.

We reserve the right to suspend or terminate your account if you violate these Terms, with or without notice. Upon termination, your right to use the platform ceases immediately, and we may delete your account data in accordance with our Privacy Policy.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of Koa shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

11. Changes to These Terms

We may update these Terms from time to time. If we make significant changes, we will notify you through the platform or by email. Your continued use of Koa after changes are posted constitutes your acceptance of the updated Terms.
